1. Acceptance of terms

By accessing or using ulalo.io (the "Site"), you agree to be bound by these Terms of Use. If you do not agree, please do not use the Site.

2. Scope

These Terms govern your access to and use of the Site, including any content, functionality, and services offered on or through it. They do not govern your use of any enterprise product offered by Ulalo under a separate agreement.

3. Permitted use

You may access and use the Site for lawful, informational, and business-evaluation purposes only. You may view, download, and print pages from the Site for your internal use, provided you do not modify or remove any copyright or other proprietary notices.

4. Prohibited use

You agree not to:

• use the Site in any way that violates applicable law or regulation;
• attempt to gain unauthorized access to any part of the Site, accounts, systems, or networks;
• interfere with, disrupt, or impose an unreasonable load on the Site;
• use automated means (scrapers, bots, crawlers) to access the Site other than well-behaved search-engine crawlers respecting robots.txt;
• reverse engineer or attempt to extract source code from the Site;
• use the Site to train machine-learning models without our prior written consent;
• impersonate any person or misrepresent your affiliation with any organization.

5. Intellectual property

All content on the Site, including text, graphics, logos, icons, images, audio, and software, is owned by or licensed to Ulalo and protected by intellectual property laws. The Ulalo name and logo are trademarks of Ulalo. No license or right is granted by implication, estoppel, or otherwise except as expressly stated in these Terms.

6. Submissions & feedback

If you submit ideas, comments, suggestions, or other feedback to us through the Site or otherwise, you grant Ulalo a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, and incorporate the feedback for any purpose, without compensation or attribution to you, to the extent permitted by law.

7. No medical, legal, or professional advice

The Site provides general information about Ulalo and its work. Nothing on this Site constitutes medical, legal, regulatory, financial, or investment advice. The Site is not intended for use by patients to self-diagnose, self-treat, or determine eligibility for any clinical trial. Always consult a qualified healthcare professional regarding any medical condition or treatment decision.

8. Disclaimer of warranties

The Site and its content are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, Ulalo disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation.

9. Limitation of liability

To the maximum extent permitted by law, in no event will Ulalo, its affiliates, or their respective directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of, or inability to use, the Site. Ulalo's total aggregate liability for any claim arising out of or relating to the Site shall not exceed one hundred euros (€100).

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

10. Indemnification

You agree to indemnify and hold harmless Ulalo and its affiliates from any claim, demand, loss, or damage, including reasonable legal fees, arising from your breach of these Terms or your misuse of the Site.

11. Third-party content and links

The Site may contain links to third-party websites. Ulalo does not control and is not responsible for the content, policies, or practices of third-party sites. Your use of any third-party site is at your own risk.

12. Privacy

Your use of the Site is also subject to our Privacy Policy, which explains how we handle personal data.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be flagged on this page and dated at the top. Continued use of the Site after changes take effect indicates your acceptance of the updated Terms.

14. Governing law and venue

Ulalo operates through three group entities. The governing law and venue applicable to any dispute arising out of or in connection with these Terms depends on the Ulalo entity you interact with or, where not specifically determined, on your country of residence:

Default rule. If the applicable entity is not otherwise determined, these Terms are governed by the laws of Belgium, and the exclusive venue is the courts of Brussels.

EU and UK visitors. Nothing in this section deprives you of mandatory consumer-protection rights you may have under the laws of your country of residence, including the right to bring proceedings in the courts of your domicile.

California residents. If you are a resident of California and the laws of Texas would otherwise apply, mandatory provisions of California law (including those concerning consumer protection and privacy) shall continue to apply where they grant you rights that cannot be waived. To the extent permitted by law, the exclusive venue for any such dispute shall be the state and federal courts located in San Francisco County, California.
